MEMBERSHIP AGREEMENT
Association Terms & Conditions
WeBuyHomes.com, Inc. has formed an Association of professionals and has the exclusive rights, subject only to all rules, obligations, limitations, and conditions under applicable tariffs, and laws to use and to offer the use of the toll-free telephone number 1-800-932-8946 to its members. This includes the corresponding vanity marketing words 1-800-WeBuyHomes, WeBuyHomes.com (hereinafter Association) and all of the associated WeBuyHomes.com websites throughout the United States, and Canada.
The Association has been granted the legal rights to use any and all associated Service Marks, Word Marks, and copyrighted advertising for the 1-800-WeBuyHomes toll-free telephone number, and the WeBuyHomes.com websites.
The sole purpose of this Association is to provide attractive real estate marketing tools and networking opportunities for members in their real estate endeavors. This is a month to month membership, with no long term membership requirements.
Rights conveyed to Members of the Association in good standing:
The Association grants exclusive use of Member benefits by County to the monthly dues paying member that reserves first and pays dues for that County. The member may use the benefit of these Association assets and market the vanity number and websites for as long as they are a member in good standing and current on all dues.
Members are hereby granted the following rights, subject only to all rules, obligations, limitations, and conditions under applicable tariffs, and laws: The right to advertise, market, promote, and otherwise commercially exploit the WeBuyHomes.com toll-free phone number and WeBuyHomes.com websites with in a specific geographic area delineated by State and County lines with in their established borders.
Member benefits will begin the day after you join. Your first full month’s dues will apply to the 1st day of the up coming month and the 1st day of every month thereafter. Complete 30-day Money back satisfaction guarantee less any toll-free call usage.
Telephone:
All incoming telephone calls originating from your County(s) and State will be routed to the target telephone number of your choice. Information forms submitted from the web sites, with the customer located in your County and State, will be routed to an email address provided by, paid for, and maintained by you, the Member.
Monthly dues include all toll-free phone charges and usage of the toll free number and collected taxes on that usage up to 300 minutes a month. Unused minutes expire each month and are surrendered without credit. Any additional minutes exceeding the 300 minute allocation will be billed accordingly, per minute including taxes and shall be reimbursed to WeBuyHomes.com. If Member goes over 300 minutes more than 3 times in one year, then Member may be required to post an additional monthly fee up-front to cover extra minutes.
If the Member changes the routing of their toll-free telephone forwarding, there is a re-trunking charge of $100.00 (one hundred US dollars) for the set up of the toll-free number to your new target number.
Payment Terms and Conditions:
1) Member payments will be made through PayPal via automatic, reoccurring billing,
2) All monthly dues are payable by the 1st day of each month so your PayPal account needs to have the funds available prior to this date.
3) Payment shall be deemed late if not received by the 1st of the month.
4) Member shall be considered in default of this agreement for non-payment if Association has not received all funds due by the 2nd day of every month. Once in default after the 2nd day, Member is subject to immediate disconnection of the toll-free number, and the Internet lead delivery system.
5) Once disconnected, Member must pay all dues and a late fee of 5% of the total payment due, plus a reconnection fee of $50 in full before service will be reinstated. Any payment default that is not cured by the 5th day of the month in which the default occurs shall automatically terminate this agreement.
6) Other arrangements for payment may be made by contacting WeBuyHomes directly.
7) All Membership Payments will be automatically deducted from your PayPal account and sent to dues@webuyhomes.com
Further Agreements:
All Members are 100% responsible to pay all advertising and other costs for the promotion of the 1-800-WeBuyHomes.com toll-free telephone number, and the WeBuyHomes.com web site in their Member (County) areas. WeBuyHomes.com and the Association will not be held responsible for paying any advertising, or any other costs incurred by Member.
Member agrees to indemnify and hold harmless WeBuyHomes.com and the association from and against any and all costs, liability, or damages, including attorney fees, arising out of or in connection to their use of the 1-800-WeBuyHomes.com toll-free telephone number, WeBuyHomes.com web sites and any associated advertising materials, or other Member benefits.
Member acknowledges and agrees that WeBuyHomes.com or their call center, exclusively owns the phone call logs, lists and database in conjunction with the 1-800-932-8946 phone number and the email leads submitted through the WeBuyHomes.com group of web sites. WeBuyHomes.com may use the databases obtained in providing services under this agreement for any and all uses
Member represents that all of their activities in respect to the use of the 1-800-WeBuyHomes.com (1-800-932-8946) toll-free telephone number, and WeBuyHomes.com web sites and their related activities will be ethical and always follows the letter of all applicable law. Member agrees to maintain the highest community and fiduciary standards when dealing with all perspective customers engaged using this program. WeBuyHomes.com and the Association reserve the right to raise the Membership dues of all members as a class if expenses necessitate such an increase. This will require 30 days written notice to all Association Members.
If at any time certain clauses in this agreement can not be fulfilled by WeBuyHomes.com due to the regulations, policies, procedures, service disruption, will of service providers, or for any other reasons, then WeBuyHomes.com and the Association shall not be considered in default of this Agreement. WeBuyHomes.com and the Association shall use its best efforts to cure any lack of service in a professional and timely manner.
Both parties agree to accept faxes as originals.
If any part of this agreement is found to be illegal or unenforceable, it shall not affect any other parts of this agreement.
Termination / Transfer of Agreement:
It is agreed that Member may terminate this Membership at any time with a minimum of 30 days written notice prior to any payment due date. Once properly terminated there is no continuing obligation.
Member agrees that the Association may terminate this Membership by serving a thirty-day (30) day written notice prior to the end of the Member’s current term.
Member may not sell, assign and convey any part or portion of their Membership or any use, rights or privilege granted to Member under the Membership agreement.
Member agrees to never use unsolicited Email Spamming as part of their promotion and marketing efforts. This is cause for termination of the Membership agreement.
It is mutually agreed that if Member violates any part of the above terms and conditions, this agreement can be terminated “with cause” by serving a thirty-day (30) day written notice given by either party.
If this agreement is terminated by WeBuyHomes.com “with cause”, then, WeBuyHomes.com and the Association will refund any unused pro-rated membership dues. If Member terminates this agreement, they will immediately forfeit their membership and will not be entitled to a refund of any kind.
Member accepts and agrees that there is a maximum $100.00 (one hundred dollars) ceiling on liquidated damages in connection with this Agreement against WeBuyHomes.com and the Association. This provision shall not apply if WeBuyHomes.com and the Association deliberately breach this agreement in bad faith.
It is mutually agreed, in the event of any legal proceedings, the venue and jurisdiction shall be Houston, Harris County, Texas. Member agrees to never seek injunctive relief or interfere with any current or future business of Association or its existing Members, nor to seek any recourse in Federal Court against WeBuyHomes.com, Inc., WeBuyHomes.com and the Association.
This is the complete agreement between the parties hereto and all statements written or oral are super ceded by this licensing agreement.
I have read and agree to this binding Membership Agreement by and between WeBuyHomes.com and myself which entitles me as an Association Member to the use of Member benefits as outlined in the above terms and conditions.
In exchange the Member agrees to pay the monthly dues amount for their Counties from the schedule below.
1) There is a one-time $150.00 (one hundred US dollars) setup fee.
2) Each county membership includes all telephone costs including up to 300 minutes of toll-free usage (equaling 5 hours of talk time) see telephone below.
